Definitions

In these Terms and Conditions, unless the context otherwise requires:

Arrangement means an arrangement between Us and an Institution of which You are a member whereby the Institution holds a licence from Us to have a hyperlink on its web site directing its Members to the this website;

Licence means the non-exclusive, non-transferrable right for You to Use the Manuals in the Territory on these Terms and Conditions;

We and Us means Haynes Australia Pty Ltd ABN 51 618;

Institution means any library, school, tertiary or other institution with which We have in place an Arrangement;

Manuals means those motor vehicle repair and maintenance manuals published from time to time by Us on this Website;

Member means a current financial member or enrolee (as the case may be) of the Institution and “Members” means any two or more of them;

Term means the term of the Licence being the period commencing on the date that You register Your details with Us and ending on date that the Licence is terminated;

Territory means the States and Territories of the Commonwealth of Australia;

Use means to reproduce by way of printing a single copy only of the Manuals or any of them within the Territory during the Term;

You means every person seeking to access this website and thereby gain access to the Manuals;

Operative Parts

  1. By registering Your details with Us You:
    1. warrant to Us that:
      1. You are not in the business of providing motor vehicle repair services either to the public or to the motor vehicle or motor vehicle insurance industries and that that Your access to the Manuals is for Your personal non-commercial use only;
      2. You will not provide a copy of any Manual to a competitor of the Licensor or to any third party;
    2. acknowledge that the password that will be provided to You by Us following Your registration with Us shall not be disclosed by You to any third party; and
    3. are taken to have accepted and to be bound by all of these Terms and Conditions.
  2. In consideration of the mutual promises contained in these Terms and Conditions and in reliance on the warranties made by You, We hereby grant to You the Licence for the Term on the following further terms and conditions.
  3. You acknowledge that:
    1. the Licence is granted to You for no consideration but by reason only of You being a Member of the Institution;
    2. the Licence may be revoked by Us by without notice if:
      1. You materially breach these Terms and Conditions or any warranty given by You to Us; or
      2. You cease, for any reason, to be a Member and/or the Arrangement ceases and is not immediately renewed;
    3. If the Licence is revoked We may, without any obligation or liability to compensate You for doing so, immediately cancel Your password and terminate Your access to the Manuals and You must immediately cease all further Use of the Manuals and must return to Us any reproduction made by You of the Manuals or, alternatively, furnish Us with a Statutory Declaration in which you declare on oath that you are no longer in possession of any reproduction/s of the Manuals having destroyed all of the same;
    4. For the avoidance of doubt, it is acknowledges that the Licence does not include the right for You to edit, adapt, digitally manipulate or otherwise alter nor to publish or otherwise distribute the Manuals or any of them;
    5. Your Use of the Manuals is at Your own risk and You hereby release Us to the fullest extent permissible by law from all and any liability for any loss or damage suffered by You in your Use of the Manuals;
    6. all rights not expressly granted to You under these Terms and Conditions are reserved to Us for Our own use at any time;
    7. the Licence is personal to You and may not be assigned by You without Our prior written approval; and
    8. We reserve the right to change these Terms and Conditions at any time without notice to You which changed terms and conditions will bind You in respect of any Use made by you of the Manuals after the date such changes have been posted to this website.
